Recruitment of Non-Executive Directors

The Nominations Committee as part of its on-going fulfilment of its Terms of Reference and Governance Structure will continue to monitor the composition of the Board to maintain an appropriate balance of skills and experience.

On the identification of the need to recruit a new Non-Executive Director the Nominations Committee shall prepare a description of the necessary skills to be acquired to meet the above requirements.

All unsolicited applications received by the Committee shall be considered and details supplied where appropriate to appointed recruitment agents.

The Nominations Committee shall consider and be responsible for the engagement of independent recruitment specialists of suitable calibre to ensure that the Society shall acquire a Non-Executive Director with the required standards of independence and skills so as to meet the job description set out in the Society’s Board Procedures Manual.

The Committee should, as it believes is appropriate, consider and affirm that the recruitment specialists either conduct a search selection process, undertake press advertising or do both.

The Committee shall consider all such matters and make a recommendation to the Board that recruitment shall be conducted in the above manner and shall specify the required timescales.

The Chairman of the Nominations Committee working with the Society’s Chief Executive and Secretary shall facilitate relevant interviews with prospective candidates arranging meetings with Non-Executive Directors and senior members of the Executive Team as appropriate and shall provide a formal recommendation to the Board for appointment.

The Secretary shall be responsible for ensuring that all approved persons requirements are fulfilled in particular verification of Fitness and Propriety. The Secretary shall also facilitate the formal offer and acceptance procedure.
